1. Payment

Approved wholesale accounts are billed on the terms shown on their invoice (prepayment, or Net 7/15/30). Past-due balances accrue a late charge of 1.5% per month. We may place an account on credit hold — pausing new orders — while any invoice is overdue. A $35 fee applies to any returned check or failed payment. Accounts extended credit may be required to provide a personal guarantee from an owner or principal.

2. Minimum Orders & Lead Time

Each account has a minimum order value. Orders must be placed before the daily cutoff (9:00 AM for next-day delivery). Orders received after cutoff are scheduled for the following production day and are not guaranteed for the requested date.

3. Delivery & Risk of Loss

Delivery fees and zones are set per account. Title and risk of loss pass to the customer upon delivery or pickup. The customer must have someone present to receive frozen and refrigerated goods and to move them immediately into proper storage; we are not responsible for the cold chain after handoff. The customer must inspect the order at the time of delivery.

4. Claims, Damage & Credits

Our products are perishable and are not returnable once accepted. Claims for damage, shortage, or quality must be submitted within 24 hours of delivery, with photos where applicable. Approved claims are settled as a credit to the customer's account — not a cash refund. No credit is issued for product loss caused by the customer's own storage, thawing, proofing, baking, or handling.

5. Product Handling & Food Safety

Products are sold frozen and/or raw. The customer is solely responsible for following the thaw, proof, and bake instructions on each product label, and for its own food-handling license, storage temperatures, and date labeling. Allergen and shared-facility information is provided on every case label; the customer is responsible for passing this information on to its own customers.

6. Pricing & Quotes

Prices are subject to change with notice and may be adjusted for changes in ingredient costs. Written quotes are valid for 14 days from issue.

7. Tax & Resale

Tax-exempt pricing requires a valid resale or exemption certificate on file. The customer represents that goods are purchased for resale and is responsible for any tax, penalty, or interest resulting from an invalid, expired, or misused certificate.

8. Accounts, Liability & Governing Law

We may refuse, suspend, or terminate any wholesale account. Our total liability for any claim is limited to replacement of the affected product or a credit of its purchase price; we are not liable for indirect or consequential damages. We are not responsible for delays or failures caused by events beyond our control (weather, equipment failure, supply disruption). These terms are governed by the State of New Jersey.
